NetAfterClose Terms of Service

NetAfterClose (the "Service") is owned and operated by Logic Ledgers LLC, a Nevada limited liability company ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms of Service ("Terms"). If you don't agree, please don't use the Service.
1. What NetAfterClose is
NetAfterClose is a subscription web application that helps real estate agents track commissions, fees, and expenses from their closed transactions, and see what they actually earn.
NetAfterClose is a record-keeping and calculation tool. It is not a bookkeeping service, a tax service, or a financial advisory service, and using it does not create a professional or fiduciary relationship between you and Logic Ledgers LLC.
2. Who can use it
You must be at least 18 years old and using NetAfterClose for business purposes. You're responsible for everything that happens under your account, including keeping your login secure. Tell us right away if you think someone else has access to your account.
3. Your subscription
Pricing. $39.99 per month plus applicable taxes, or $399 per year plus applicable taxes. Prices are in U.S. dollars.
Free trial. New accounts get a 14-day free trial. No credit card is required to start it. Some features, including exports and downloadable reports, are only available on a paid plan.
Automatic renewal. Paid subscriptions renew automatically — monthly plans every month, annual plans every year — at the then-current price, until you cancel. Your card is charged on the renewal date.
Canceling. You may cancel anytime. Cancellation stops future renewals. Your access continues through the end of your current monthly or annual billing period. We do not provide refunds for unused time, except as described in section 14.
Price changes. We may change pricing. If we do, we'll give you at least 30 days' notice by email before it affects your renewal, and you can cancel before then.
Payments. Payments are processed by Stripe. We never see or store your full card number.
4. Your data
The transaction and financial information you enter is yours. You keep ownership of it.
You give us permission to store and process it for the purpose of operating NetAfterClose for you — that's it. We don't sell it, we don't rent it, and we don't share it with your brokerage or anyone else except the service providers listed in our Privacy Policy who help us run the software.
You can export your data while your subscription is active. If you cancel, your data stays in your account for 30 days so you can come back or export it, after which it may be deleted.
5. Accuracy and your responsibility
NetAfterClose calculates from the information you enter. If a split, cap amount, fee, or sale price is entered incorrectly, the results will be wrong.
Brokerage settings and presets in the app are starting points based on common structures. Commission splits, caps, and fees are negotiated individually and vary by agent, office, and year. NetAfterClose does not know the terms of your agreement with your brokerage — you do, and you're responsible for entering them correctly.
Your brokerage's statements and your own tax records are the authoritative source for your income. NetAfterClose is a tool to help you understand and track it, not a substitute for those records.
Figures shown in NetAfterClose are estimates for planning purposes only. Reconcile them against your official brokerage statements before relying on them for tax or financial reporting.
6. AI-read commission stubs
NetAfterClose uses AI to read and extract data from uploaded commission stubs. This extraction may be inaccurate. You are responsible for reviewing and confirming all extracted data before relying on it.
7. Not professional advice
Nothing in NetAfterClose is tax, legal, accounting, investment, or financial advice. The numbers, projections, and comparisons it produces are estimates for your own planning and information.
Decisions about your taxes, your brokerage agreement, or your business are yours to make, and we recommend making them with a qualified tax professional or attorney.
8. No professional relationship
Use of NetAfterClose does not create a bookkeeping, accounting, or tax client relationship with Logic Ledgers LLC. NetAfterClose is a software tool, not professional bookkeeping, accounting, or tax advice.
9. Acceptable use
Don't use NetAfterClose to break the law, don't try to access other users' data, don't attempt to disrupt or reverse engineer the service, and don't resell or share your account with people who haven't paid for it.
We may suspend or close an account that violates these terms.
10. Intellectual property
All software, design, and content of NetAfterClose are owned by Logic Ledgers LLC. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your own business purposes. Your data remains yours, as described in section 4.
11. Availability
We work hard to keep NetAfterClose running and your data safe, but we can't promise the service will never be unavailable, interrupted, or error-free. Features may change, improve, or be removed over time.
The service is provided "as is," without warranties of any kind, to the fullest extent the law allows.
12. Limitation of liability
To the fullest extent permitted by law, Logic Ledgers LLC is not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost income, or lost data, arising out of your use of NetAfterClose.
Our total liability for any claim relating to NetAfterClose is limited to the amount you paid us in the 12 months before the claim arose.
13. Ending your account
You can close your account anytime. We may suspend or end your access if you violate these terms, if required by law, or if we stop offering the Service.
14. Discontinuing the Service
If we discontinue the Service, we will provide advance notice and a chance to export your data. For unused prepaid annual fees, we will make reasonable efforts to issue a prorated refund, subject to our ability to do so at that time.
15. Changes to these terms
We may update these terms. If a change is significant, we'll notify you by email or in the app before it takes effect. Continuing to use NetAfterClose after that means you accept the updated terms.
16. Governing law
These terms are governed by the laws of the State of Nevada, without regard to conflict of law rules. Any dispute will be handled in the state or federal courts located in Carson City, Nevada.
